Litigation.
The Firm has experience in litigation, including, for
example, personal injury, product liability, franchise
regulation, accounting malpractice, motor vehicle dealer
disputes pursuant to applicable Michigan and Federal
law, contract disputes, shareholder suits, employment,
discrimination, regulatory and injunctive actions,
wrongful discharge, securities litigation, landlord and
tenant matters, and domestic relations. The Firm is also
currently involved in major securities litigation and
arbitrations on behalf of PaineWebber, Inc. and First of
Michigan Corporation. As general counsel to Metro 25,
Inc., MetroCell, Inc., Big Net, Inc., Big Net Holdings,
Inc. and Checker Cab Company, the Firm has substantial
expertise regarding automobile liability defense and has
been involved in several major products liability and
personal injury cases. The Firm also acts as general
counsel for various other diverse entities.
Corporate, Business Planning and Franchising.
The Firm has represented two (2) of the top fifteen
(15) retail chains in Michigan (The Rao Group, Inc., (8)
and Pro Golf of America, Inc., from 1979) (13), as
ranked by Crams Detroit Business). The expertise
generated by the Firm’s work in the corporate and
commercial litigation areas is utilized to provide
clients with a full range of general corporate services,
including planning for the formation of new enterprises,
acquisitions, mergers, liquidations, and the corporate
tax and securities implications of such transactions. In
the area of franchising, the Firm has represented
franchisors and franchisees including several companies
who franchise on a national basis. One particularly
long-term client, Pro Golf of America, Inc. (“Pro Golf
Discount”) had in excess of 180 units throughout the
United States, Canada and Europe and Metro 25 Car Care
Centers had in excess of three hundred (300) national
stores.
Securities.
The
Firm has diverse securities experience including
securities arbitrations, regulatory compliance, SRO
investigations, restrictive covenant litigation, real
estate syndication, venture capital, public offerings,
Regulation D offerings and Williams Act compliance. The
Firm has, for example, served as legal counsel in
connection with a $20,000,000 real estate syndication
and a $30,000,000 syndication. Mr. Miller frequently
serves as and arbitrator and the Firm has acted as local
counsel for PaineWebber Incorporated and performs
security related work for First of Michigan Corporation,
R.D. White, and Linsco Private Ledger.
Trademark Licensing.
As
General Counsel of the American and National
Football League Players Association, as well as
professional athletes and corporate clients, Mr. Miller
has had experience in all types of trademark licensing
and associated marketing endeavors.
Real
Estate
and
Construction Law. The Firm’s clients
include developers of real estate for various uses. The
Firm is involved in the acquisition and financing of
office, residential and commercial real estate, shopping
center development, the preparation of construction
contracts, commercial leases, and all aspects of real
estate development and financing. The Firm also has
substantial experience with regard to condemnation and
landlord tenant matters.
Taxation.
The
Firm serves corporate and individual clients in
connection with a wide variety of problems and
transactions encompassing all aspects of federal income,
partnership, tax shelter syndications, tax planning of
real estate and commercial transactions; and
international tax planning.
Sports Law.
The Firm has represented a
large number of athletes and entertainers in connection
with both contractual and other problems including
salary arbitration. Recently Mr. Miller has done a
substantial amount of work relating to automobile racing
including the negotiation and drafting of Sponsorship
Agreements, Sponsor Finder Agreements, Service
Agreements, Driver Agreements, Licensing Agreements and
other~reIated documents. Mr. Miller’s clients include
drivers in Indy car, Trans Am and international
motorcycle racing, a race car manufacturer, Indy car
Teams, and NASCAR Teams.
Negligence.
The
Firm has been involved in various matters involving
claims of negligence, including ordinary and
professional. This has included, for example, legal and
accounting malpractice.
Insurance.
The
Firm has been involved in the representation of several
insurance companies with regard to automobile defense
and the defense of other claims including products
liability. As counsel to the Metropolitan Taxicab
Association, the Firm has conducted rate filings with
the Insurance Bureau and in applicable state courts. The
Firm has also represented various self-insured
companies.
Domestic Relations.
The Firm has represented
numerous individuals in domestic disputes, primarily
divorce litigation. Various of the cases have involved
prominent families and/or complex issues and estates.
